Under what circumstances can a special lease be entered into?

A short-term lease, also known as a temporary lease, is used to rent commercial space for a limited period. It is suitable for testing a business concept, opening a pop-up store, setting up a showroom, assessing the potential of a location, or occupying a space before committing to a longer-term lease.

What conditions must be met for a special lease to be valid?

The parties’ intent must be clear: the landlord and tenant agree to deviate from the provisions of the Commercial Lease Act. This statement must be included in the lease agreement.

The lessee must take possession of the premises upon the execution of the lease, in accordance with Article L145-5 of the Commercial Code.

What is the maximum term of a special lease?

The total term of the lease or successive leases must not exceed 3 years. Thus, a special-case lease entered into for 12 months may be renewed, as long as the maximum term of 36 months is not exceeded.

The rent amount is freely agreed upon between the landlord and the tenant. The lease agreement must specify the utilities, any required repairs, the security deposit, the allocation of expenses, and the payment terms. This clarity helps prevent disputes, especially in an older building or a mixed-use commercial space.

Is an inventory required for a special-case lease?

Yes. A move-in inspection report protects both parties. It describes the condition of the premises, the fixtures and equipment, the meters, and any work that may need to be done. A new move-out inspection report facilitates the return of the security deposit and minimizes disputes between the landlord and the tenant.

Can a special lease be terminated before it expires?

In principle, a special-case lease terminates on its scheduled expiration date. Early termination is possible if a clause permits it or if the landlord and tenant reach an amicable agreement.

It is therefore best to make provision for this termination when drafting the contract, especially if the business is dependent on a particular season, construction work, or an administrative permit.

What happens at the end of a special lease?

At the end of a special-case lease, the principle is simple: the tenant must vacate the premises on the date specified in the contract. Unlike a standard commercial lease, the tenant does not have an automatic right to renewal.

What is the risk of reclassification as a commercial lease?

The main risk is that the lease will be reclassified as a commercial lease. The tenant would then be subject to the terms of a commercial lease, with the right to renewal and, in some cases, compensation for eviction. For the landlord, this reclassification alters the legal balance of the contract and may bind the landlord well beyond the agreed-upon term.

To avoid any reclassification, the landlord must take action before the expiry of the special-case lease. The landlord must provide written notice of the contract’s end date, clearly refuse to allow the tenant to remain on the premises after the lease expires, and arrange for the return of the premises—unless, of course, the landlord wishes to continue the lease with the tenant. In practice, it is best to send a dated letter, keep records of the correspondence, and formalize the move-out inspection report. These documents serve as proof, in the event of a dispute, that the landlord never agreed to allow the tenant to continue occupying the premises.

Special Lease Agreements, Temporary Occupancy Agreements, and Other Leases: What Are the Differences?

A short-term lease is based on a short duration agreed upon from the outset. A temporary occupancy agreement depends on an external circumstance that justifies the temporary occupancy, such as a planned demolition or an upcoming real estate development. The standard commercial lease, on the other hand, is part of a long-term relationship that provides protection for the tenant. It therefore does not serve the same purpose.

What pitfalls should you avoid before signing a special lease?

Do not sign without verifying the term, the intended use of the premises, the expenses, any required renovations, the termination clause, and the expiration date. Also verify that the contract accurately reflects the business activity being conducted and that the temporary lease does not mask a long-term occupancy. If in doubt, it is recommended that you seek the advice of an attorney, a legal professional, or a rental management specialist.
